Abstract:

The article is a concise analysis of currently prepared evolutionary changes in the Code of Commercial Companies in the form of the introduction of a new type of capital company – simple joint stock company, which is intended to serve business in innovative industries. Basic issues of the company’s operations, in particular its material structure and protection of the creditors, are discussed due to the ongoing disputes regarding its final settlement. The article is an attempt to answer the question whether introducing a simple joint-stock company in the proposed form is justified. Due to the scope of this study, only selected issues will be discussed.
