Addressing the issue is justified due to both theoretical and practical reasons – in the context of liability stipulated in art. 423 of the Commercial Companies Code for filing an action demonstrating features specified above. In this publication, I have signalled the fundamental issues concerning the misuse of procedural safeguards and liability for filing “an obviously groundless action” for revoking a resolution of the General meeting of a joint stock company or for declaring it null and void, including the preconditions for the so-called civil penalty. Then, I have conducted detailed considerations concerning “obvious groundlessness of an action”. Within them, I referred to the issue of groundlessness from the factual and legal perspective, and I considered the possibility to acknowledge that also in some cases of partial dismissal of an action, it may be considered to be groundless.
