The Commercial Companies Code, however, does not specify the rules for taking action of this kind by the management board, the supervisory board, the board of directors, the audit committee, or the circle of authorized members of these bodies. The main purpose of the article is to determine when the entitlement of company’s officers to appeal against shareholders’ resolutions expires. Due to the ratio legis of the analyzed provisions, it is necessary to assume that a member of the governing body retains the right to support their action even after losing his status.
