 abstract={The purpose of this article is an attempt to present the solutions proposed by the Federal Ministry of Justice and Consumer Protection in Germany that respond to the requirements introduced by Directive (EU) 2019/1151 of the European Parliament and of the Council of 20 June 2019 amending Directive (EU) 2017/1132 regarding the use of digital tools and processes in company law. The changes introduced by Directive 2019/1151 assume, among other things, a procedure for setting up a limited liability company fully online, in which communication with a notary takes place via electronic system. Consequently, the main background for consideration will be the regulations establishing rules for making declarations of will via means of video communication without the physical attendance of the parties to the contract in the notary’s office.},
