Wydział Prawa, Administracji i Ekonomii Uniwersytetu Wrocławskiego}, language={pol}, abstract={The article presents the problem of the existence of shareholders’ meeting resolutions as an obligatory body of a limited liability company, which is significant from the point of view of the functioning of a limited liability company. First, the author discusses the essence of resolutions as a decision of the shareholders’ meeting made as a result of the submission of declarations of intent by individual shareholders. Next, the author briefly explains the problem of qualification of such resolutions, determining their specific nature. In the main part of the work, the author considers all possibilities of challenging resolutions adopted by a shareholders’ meeting, analysing and comparing particular commercial law institutions used to challenge shareholders’ meeting resolutions. Finally, the author addresses the issue of the so-called non-existent resolutions, widely discussed in the doctrine and jurisprudence, presenting the main views expressed in this respect in the literature on the subject and in the jurisprudence, and then shares the view that it is possible to sue for determining the non-existence of a shareholders’ meeting resolution, which the author supports with arguments not only theoretical, but also practical aspects.
